1. Introduction
This Data Processing Agreement (“Agreement”) forms part of the service agreement between Solvpreneur Solutions LLC (“Company”, “Processor”, “we”, “our”, or “us”) and its clients (“Client”, “Controller”).
This Agreement applies where the Company processes personal data on behalf of the Client in connection with services such as digital marketing, CRM management, automation, and related services.
2. Roles & Responsibilities
- The Client acts as the Data Controller and determines the purposes and means of processing personal data.
- Solvpreneur Solutions LLC acts as the Data Processor, processing personal data strictly on behalf of the Client.
3. Scope of Processing
The Company may process personal data including, but not limited to:
- Customer databases
- Lead information
- Email lists
- Contact records
- Campaign and analytics data
Processing activities may include collection, storage, organization, analysis, and transmission as required to deliver contracted services.
4. Processor Obligations
The Company agrees to:
- Process personal data only in accordance with the Client’s documented instructions.
- Ensure that all personnel authorized to process personal data are bound by confidentiality obligations.
- Implement appropriate technical and organizational security measures to protect personal data.
- Notify the Client without undue delay in the event of a personal data breach.
- Assist the Client, where reasonably possible, in fulfilling obligations related to data subject rights requests.
- Not use personal data for any purpose other than providing the agreed services.
5. Sub-Processors
- The Company may engage third-party service providers (“Sub-Processors”) to support service delivery (e.g., CRM platforms, cloud hosting, analytics tools).
- The Company ensures that such Sub-Processors are subject to appropriate data protection obligations.
- A list of Sub-Processors may be provided upon request.
6. Data Security
The Company implements commercially reasonable safeguards, including:
- Secure systems and access controls
- Encryption where applicable
- Restricted data access
- Regular monitoring and administrative controls
7. Data Transfers
Personal data may be processed in multiple jurisdictions, including the United Arab Emirates and the United States.
The Company takes reasonable steps to ensure that cross-border data transfers are protected through appropriate safeguards.
8. Data Retention & Deletion
- Personal data will be retained only for as long as necessary to fulfill the purposes of the services.
- Upon termination of services, the Company will, upon request, delete or return personal data unless retention is required by law.
9. Client Responsibilities
The Client agrees to:
- Ensure that all personal data provided to the Company is collected and processed lawfully.
- Provide clear instructions for data processing activities.
- Obtain necessary consents from data subjects where required.
10. Governing Law
This Agreement shall be governed in accordance with the laws of the United Arab Emirates.
